Simpson Thacher represented the selling shareholder, which was the former majority shareholder of Mattress Firm Group Inc., in connection with the secondary offering of 15.4 million shares of common stock in Somnigroup International Inc. (“Somnigroup”), which reflected the sale of all shares held by the selling shareholder. The secondary offering raised gross proceeds for the selling shareholder of approximately $953.4 million. The transaction closed on May 13, 2025.
