(the “Fund”) in an SEC-registered at-the-market equity program pursuant to which the Fund may offer and sell shares of common stock having an aggregate offering price of up to $75 million from time to time. Franklin Distributors, LLC, the principal underwriter for the offering, has entered into a sub-placement agent agreement with UBS Securities LLC related to the offering.
The Fund is a closed-end management investment company registered under the 1940 Act. The Fund’s common shares trade on the NYSE under the ticker symbol “MHF.” Franklin Templeton Fund Adviser, LLC is the Fund’s investment manager. The Fund is sub-advised by Western Asset Management Company, LLC. The investment manager and the sub-adviser are indirect wholly-owned subsidiaries of Franklin Resources.
