(“Finance of America”) and its subsidiaries (the “Company”), in connection with the termination of a working capital facility and the entrance into a definitive agreement to repurchase the entirety of Blackstone’s equity stake in the Company, a private placement of a new series of unsecured convertible notes issued by Finance of America, and entrance into a consent support agreement with a majority of the beneficial holders of the Company’s outstanding senior secured and exchangeable notes to effect amendments to the applicable indentures.
