Sara Razi Quoted in The Deal on Healthcare Merger Enforcement Practices
Sara Razi, Global Co-Chair of the Firm’s Antitrust and Trade Regulation Practice, was quoted in an article in The Deal, "Edwards Lifesciences-JenaValve Merger Complicated by Smaller Deal." Focusing on Edwards Lifesciences' proposed acquisition of JenaValve Technology, the story examines the Federal Trade Commission's (FTC) approach to antitrust enforcement practices and merger remedies, particularly in the healthcare industry.
Drawing on her experience advising high-profile healthcare antitrust matters and serving in senior roles in the FTC's Bureau of Competition, Sara highlighted how the enforcement action illustrates broader trends in the FTC's strategy. She explained that healthcare is "a longstanding area of enforcement for the FTC" and that a legal victory would validate the credibility of its "case selection" efforts. She also explained the unique proposal the FTC has made to alleviate its concerns with the purchase, saying "It is fairly unusual for the FTC to suggest a divestiture. More often they require the merging parties to make a proposal they believe would offset the anticompetitive effects of the transaction."
