Simpson Thacher Represents FIBRA Macquarie in Syndicated Sustainability-Linked Credit Agreement and IFC Loan Agreement

The Firm recently represented the Irrevocable Trust Agreement number F/1622, denominated FIBRA Macquarie México (“FIBRA Macquarie”) in connection with a $550 million Sustainability-Linked Credit Agreement comprising a $250 million term loan facility, a $250 million revolving dollar sub-tranche facility and a Ps$899.6 million (approximately $50 million) revolving Mexican peso sub-tranche facility, made available by Banco Citi México, S.A., Institución de Banca Múltiple, Grupo Financiero Citi México, JPMorgan Chase Bank, N.A., Banco J.P. Morgan, S.A., Institución de Banca Múltiple, J.P. Morgan Grupo Financiero, the Bank of Nova Scotia, Scotiabank Inverlat, S.A., Institución de Banca Múltiple, Grupo Financiero Scotiabank Inverlat, and a syndicate of lenders thereunder.

The Firm also represented FIBRA Macquarie in a concurrent $50 million loan facility to be made available by the International Finance Corporation (IFC) upon satisfaction of all conditions under the Loan Agreement entered into by FIBRA Macquarie and the IFC on December 22, 2025.

The proceeds of the loans under the syndicated term loan facility were used to refinance FIBRA Macquarie’s existing indebtedness. The proceeds of the syndicated revolving facilities and of the IFC loan will be used mainly to finance FIBRA Macquarie’s investment program, finance working capital needs and refinance certain existing debt.

FIBRA Macquarie is a real estate investment trust with a US$1.4 billion market capitalization as of September 30, 2025, that primarily focuses on the acquisition, ownership, leasing, and management of industrial and retail real estate properties in Mexico. As of September 30, 2025, FIBRA Macquarie had a portfolio of 244 industrial properties and 17 retail properties (including properties held through joint ventures).
