Simpson Thacher represented the underwriters, led by BNP PARIBAS, Citigroup Global Markets Limited and Goldman Sachs & Co. LLC, in connection with a registered offering by Viatris Inc. (“Viatris”) of €650,000,000 aggregate principal amount of 4.250% Senior Notes due 2033. Viatris intends to use the net proceeds from the offering to (i) fund the repayment of any amounts borrowed under its Revolving Credit Facility in connection with the repayment of its 3.950% Senior Notes due 2026 (the “2026 Senior Notes”) and (ii) the remainder, if any, replenish cash that will be utilized in connection with the repayment of the 2026 Senior Notes, with such cash to be used for general corporate purposes.
