New York Life Investment Management to Acquire Majority Ownership Stake in Invictus Capital Partners

Simpson Thacher served as regulatory counsel to Invictus Capital Partners (“Invictus”) in connection with its definitive agreement with New York Life Investment Management (“NYLIM”), pursuant to which NYLIM will acquire a majority ownership stake in Invictus. New York Life will also make a significant multi-year capital commitment to Invictus. The transaction is expected to close in the first quarter of 2027, subject to customary closing conditions and regulatory approvals.

Invictus is a leading alternative credit asset manager specializing in U.S. single-family residential credit, with more than $20 billion in gross assets under management. The transaction will expand NYLIM’s approximately $304 billion global private markets platform by adding Invictus’s U.S. single-family residential credit investment capabilities and proprietary loan sourcing and operations platform, Verus Mortgage Capital. Invictus’s leadership team will remain in place and retain a significant ownership stake in the business.
