Simpson Thacher represented Japan’s Mizuho Financial Group, Inc. (“MHFG”) in connection with its offering of US$1 billion of 7.050% Fixed Rate Resetting Perpetual Subordinated Notes. This was an inaugural SEC-registered U.S. dollar-denominated perpetual subordinated notes transaction by MHFG.
The offering was made pursuant to MHFG’s shelf registration statement on Form F-3 under the Securities Act. Mizuho Securities USA LLC, J.P. Morgan Securities LLC, BofA Securities, Inc., CIBC World Markets Corp. and SG Americas Securities, LLC were the representatives of the underwriters for the offering.
MHFG is a Japanese bank holding company that is the ultimate parent company of the Mizuho Group, one of the largest financial institution groups in the world.
