Counsel Ryan Brizek and Associate Debbie Sutter authored an article titled, “Key considerations to prepare for closed-end fund offering reform,” which was published by Thomson Reuters Westlaw. The article analyzed the new registration and offering process for closed-end funds which was recently adopted by the SEC and will take effect on August 1, 2020. It discussed the changes to the closed-end fund registration process and highlighted important reforms to the IPO and secondary offering process. For listed closed-end funds, it addressed key changes these funds should prepare for as they transition from the current regime to a process that allows most funds to utilize a short-form registration statement and forward incorporation by reference, and a limited set of funds to qualify as WKSIs. For non-listed closed-end funds, the article addressed the modernization of the registration statement annual update process.
