Andrea Stephen

Andrea Bidegaray Stephen is Counsel in the Firm’s Fund Transactions Practice, advising private equity sponsors in their GP-side co-investment practices and complex direct investments in minority and preferred equity, across a range of industries. Andrea has extensive experience in a variety of matters in the private equity M&A space, including representing sponsors in domestic and cross-border mergers and acquisitions, divestitures, joint ventures, co-investments and other equity investments, and general corporate matters arising in connection with portfolio company operations. Andrea has represented a broad range of clients, including Partners Group, New Mountain Capital, Advent International, Berkshire Partners, Kohlberg & Co., Haveli Investments, CCMP Capital, AIP, Dragoneer and the NFL.

Notable experience prior to joining Simpson Thacher includes advising:  

• The National Football League in connection with various private equity-related matters, including its On Location joint venture with Endeavor, investments in Fanatics, Dapper Labs, Genius Sports and NoBull
• Kohlberg & Co. in it its acquisition of Riveron Consulting
• Partners Group and its portfolio company Wedgewood Pharmacy, a veterinary compounding pharmacy, in its merger with Blue Rabbit, a veterinary prescription management and pharmacy solutions provider
• Partners Group in its acquisition of a majority stake in restaurant businesses Pacific Bells and World Wide Wings
• New Mountain Capital and its portfolio company Ciox Health in the combination of Ciox Health with Datavant
• Avolon Holdings Limited (at the time, a portfolio company of Cinven Partners, CVC Capital Partners and Oak Hill Partners), an Ireland-based provider of aircraft leasing and lease management services to airlines and aircraft investors, worldwide, in its $7.6 billion sale to Bohai Leasing Co. Ltd. (an affiliate of HNA Group)
• Connolly LLC, a global recovery audit firm and, at the time, portfolio company of Advent International Corporation, in connection with its merger with iHealth Technologies, Inc., a provider of payment policy management solutions and services to healthcare organizations
• Verde Realty Operating Partnership, L.P. (at the time a majority-owned subsidiary of funds managed by Brookfield Property Partners LP), in connection with the acquisition of Industrial Development International Inc. from a subsidiary of Japan's Kajima Corp.
• Univision Communications in the $1.2 billion investment by Grupo Televisa, Mexico's top TV broadcaster

Andrea received her J.D., summa cum laude, from Suffolk University Law School, in 2010, and her B.A., magna cum laude, from Boston College in 2007. She is admitted to practice in New York and Massachusetts.
