Eugene Benger is Counsel in Simpson Thacher’s Insurance Transactional and Regulatory team. He advises domestic and international insurers, reinsurers, asset managers and other strategic investors on insurance regulatory matters, including holding company transactions, insurer investments, insurance capital charges and general regulatory compliance and enforcement. Gene has extensive experience with complex and novel insurance regulatory issues, having served as General Counsel for Insurance at the New York State Department of Financial Services, where he advised the Superintendent and other Department officials on applications to acquire control of insurers, administrative proceedings against licensees, insurer reorganizations and receiverships and Freedom of Information Law requests and appeals.

  • Blackstone as the largest shareholder of FGL Holdings in the sale of FG to Fidelity National Financial for $2.7 billion
  • Blackstone-managed entities in the $2.8 billion acquisition of Allstate Life Insurance Company from The Allstate Corporation
  • Legal & General plc in the $2.3 billion sale of its U.S. protection business to Meiji Yasuda Life Insurance Company
  • Prudential Financial, Inc. in the sale of its full-service retirement plan recordkeeping and administration business to Empower Retirement for a total transaction value of $3.55 billion
