Notable experience prior to joining Simpson Thacher includes representing:

  • S&P Global Inc. in the $975 million sale of its engineering solutions business to investment funds managed by KKR & Co. Inc.
  • Stanley Black & Decker, Inc. in the $760 million sale of its attachments and handheld hydraulic tools business to Epiroc AB
  • SharkNinja, Inc. in its spin-off from JS Global Lifestyle Company Limited, resulting in the company becoming a publicly traded entity
  • Pfizer Inc. in connection with its:
    • joint venture combining its consumer health care business with that of GSK plc;
    • $36 billion de-merger of Haleon from GSK plc;
    • proposed combination with Allergan plc.
  • Fortive Corporation in the $3 billion reverse Morris trust combination of four operating companies from its automation and specialty platform with Altra Industrial Motion Corp.
  • Las Vegas Sands Corp. in connection with:
    • its pursuit of a downstate New York gaming license and proposed development of a multibillion-dollar flagship hospitality, entertainment and casino project on Long Island, New York;

    • the $1.3 billion sale of its Sands Bethlehem property in Pennsylvania to Wind Creek Hospitality, an affiliate of the Poarch Band of Creek Indians of Alabama
