Carolyn Wong is a Partner in the Firm’s Hong Kong office, where she focuses on advising infrastructure funds and energy majors on complex, cross-border transactions across Asia-Pacific, North America and globally. Her practice focuses on mergers and acquisitions of energy and infrastructure assets, large-scale joint ventures and project development work, drawing on her experience practicing in Singapore, Australia and Hong Kong. Carolyn will be based in the Firm’s Singapore office upon its announced opening.

Carolyn Wong is a Partner in the Firm’s Hong Kong office, where she focuses on advising infrastructure funds and energy majors on complex, cross-border transactions across Asia-Pacific, North America and globally. Her practice focuses on mergers and acquisitions of energy and infrastructure assets, large-scale joint ventures and project development work, drawing on her experience practicing in Singapore, Australia and Hong Kong.

She regularly handles significant cross-border matters across the energy, LNG, petrochemicals, digital infrastructure and utilities sectors. She has deep experience advising leading global sponsors, energy companies and financial investors on high-value transactions across the Asia-Pacific region, North America and globally, including investments in LNG and regasification assets, renewable and solar platforms, upstream, midstream and downstream oil and gas businesses, major power and utilities projects and digital and telecommunications infrastructure.

Prior to joining Simpson Thacher, Carolyn’s selected representations include:

  • Global Infrastructure Partners on: (i) the investment in Aboitiz InfraCapital, a Philippines-based operator of airports, digital infrastructures, as well as water and wastewater facilities; and (ii) its acquisition of Tower Vision India Private Limited, a company engaged in the provision of passive telecommunication infrastructure services through towers in India, from Tower Vision Mauritius Limited
  • EIG’s MidOcean Energy on its acquisition of interests in the LNG Canada Project and upstream interests in the North Montney Upstream Joint Venture from PETRONAS
  • Keppel Infrastructure Fund (KIF) on its acquisition of Global Marine Group, a UK-based provider of submarine cable solutions, from investment affiliates of J.F. Lehman & Company
  • Manila Electric Company (Meralco) and its subsidiary, Solar Philippines New Energy Corporation, on the acquisition by Actis, a leading global investor in sustainable infrastructure, of a 40% stake in the Terra Solar Project. The transaction represents the largest foreign direct investment for a greenfield infrastructure project in the Philippines. This transaction was awarded Market Impact Award at the IJGlobal InvestorAwards 2025, Solar Deal of the Year at the PFI Awards 2025 and IJGlobal ESG Awards 2025;Best M&A Deal in the Philippines at the FinanceAsia Achievement Awards 2025 and ALB Philippine Law Awards 2025, and Best Infrastructure Deal: Philippines at the FinanceAsia Achievement Awards 2025
  • Chandra Asri, Indonesia’s leading chemical and infrastructure solutions company, on the formation of a consortium with Glencore plc and the acquisition by the consortium of Shell’s refinery and refining assets in Singapore. This transaction was awarded Best M&A Deal: Singapore at the FinanceAsia Achievement Awards 2025
  • Chevron on the acquisition by Bangchak of Chevron’s downstream businesses in Hong Kong, comprising Caltex-branded service stations and industrial and marine fuel operations
  • A consortium of Japanese buyers, including Osaka Gas Co., Ltd. and Sumitomo Corporation, in connection with their strategic investment in AG&P LNG Marketing Pte. Ltd., I Squared Capital’s platform for investing in companies that develop city gas distribution networks in India
  • Unioil Petroleum Philippines, a leading Philippines-based downstream oil company, on its sale of a 25% stake to Aramco
  • ST Engineering, a subsidiary of Temasek, on: (i) its $2.68 billion acquisition of TransCore, a U.S. based provider of electronic tolling systems and transportation solutions, to accelerate ST Engineering’s Smart City growth and position it as a market leader in Smart Mobility; and (ii) its topping bid proposal to acquire all of the shares of Cubic Corporation, a NYSE-listed company, with transportation and defense businesses
  • Arran Investment, an affiliate of sovereign wealth fund GIC Private Limited, on its acquisition of a minority stake in AC Energy Philippines, a Philippines-based company engaged in oil, gas and petroleum exploration and in power generation and supply
  • Global Power Synergy Public Company, a power generation arm of Thailand ’s state-owned oil and gas conglomerate, PTT, on its investment (through its subsidiary, Global Renewable Synergy Company Limited) in Avaada Energy Private Limited which has a portfolio of solar projects in India
  • Total on the separation and distribution by its majority-owned subsidiary Sunpower of its non-US (including Asia-based) business into a separate publicly listed entity, and divestment of a significant stake to Tianjin Zhonghuan Semiconductor Co Ltd.
  • San Miguel Global Power on the development of the first LNG import and regasification terminal in the Philippines
  • BG Group (now part of Royal Dutch Shell plc) on divestments and joint ventures within, and the development and ongoing operations of, the US$20 billion Queensland Curtis LNG Project (the world’s first coal seam gas to LNG project), including: (i) the sale of a further $1.8 billion interest to CNOOC and the negotiation of a further 6 mtpa LNG SPA; and (ii) the sale of the $5 billion export pipeline to APA Group
  • Shell on its successful bid for a license to import LNG into Singapore, including the negotiation of terminal use arrangements and gas sales agreements with domestic gas buyers
  • Alumina Limited on the renegotiation of its alumina and bauxite joint venture and marketing arrangements with Alcoa Inc. (as part of the Alcoa World Alumina and Chemicals business)

Carolyn holds an LL.M. from the University of Melbourne, where she also earned her degree in law and commerce.
