Neesa Patel Sood

Neesa Patel Sood is a Partner in the Firm’s Registered Funds Practice. She counsels registered funds, their investment advisers and independent board members across a wide range of complex regulatory, compliance, fund governance, operational and transaction-related matters. Neesa also regularly advises on the structuring, launch and day-to-day operations of registered funds and private funds tailored for individual investors. She has significant transactional experience, counseling clients on fund restructurings as well as fund and adviser merger and acquisition transactions.

Neesa’s representative experience includes:

• CVC in connection with the development of CVC-PE Global Private Equity Fund, LP and its continuous private offering. 
• Carlyle in connection with the development of Carlyle Private Equity Partners Fund, L.P. and its continuous private offering.
• Numerous private fund sponsors in connection with the formation and continuous public offering of their first registered investment companies structured as non-traded interval and tender offer closed-end funds.
• Counsel to regulated tender offer and interval funds managed by affiliates of JPMorgan.
• Leading asset management firms in designing multi-asset solutions to integrate public and private markets.
• Represented Board of Trustees of CION Grosvenor Infrastructure Fund, an innovative master-feeder interval fund structure in its formation and ongoing matters.

Neesa received her J.D. in 2009 from the Columbia University School of Law and her B.S. in 2006 from the University of Maryland. She was a Sponsors for Educational Opportunity (SEO) Law Fellow in 2006. Neesa is admitted to practice in the District of Columbia and New York.
