Simpson Thacher Names Corporate Practice Leaders

Simpson Thacher & Bartlett LLP announced the following new Corporate Practice group leaders:

Capital Markets – Joshua Ford Bonnie, Roxane F. Reardon and Kenneth B. Wallach have been named Co-Heads of the Firm’s Capital Markets Practice;

M&A – Kathryn King Sudol and Eric M. Swedenburg have been named Co-Heads of the Firm’s Mergers and Acquisitions Practice; and

Private Equity M&A – Elizabeth A. Cooper has been named Co-Head of the Firm’s Private Equity Mergers and Acquisitions Practice, joining current Head, Marni J. Lerner.

Josh Bonnie is one of the preeminent IPO lawyers in the nation and regularly counsels public companies on spin-offs and other significant strategic transactions, capital markets offerings and general corporate and securities law matters. Josh’s transactional experience also includes business combinations involving special purpose acquisition companies (SPACs). Josh is also the Co-Managing Partner of our Washington, D.C. office.

Elizabeth Cooper has a diverse practice guiding many of the world’s most sophisticated private equity sponsors, as well as leading financial institutions, on their most important mergers and acquisitions, joint ventures, investments, recapitalizations and other transactions. Elizabeth is also a leading lawyer to alternative asset management firms and has been involved in executing multiple strategic transactions for private equity firms. She is a member of our Executive Committee.

Marni Lerner is a leading private equity and M&A lawyer with broad experience representing private equity sponsors and their portfolio companies on significant, complex and record-breaking mergers and acquisitions, public and private divestitures and strategic investments. She also has extensive experience representing corporate clients, including family and founder-owned companies, on a variety of high-stakes matters. Marni has been the Head of the Firm’s Private Equity Mergers and Acquisitions Practice since 2016.

Roxane Reardon counsels issuers, SPACs and investment banks on highly complex capital markets transactions such as IPOs and de-SPACs, as well as offerings of equity, equity-linked and debt securities. She has a particular specialization in offerings of equity-linked securities, such as optional and mandatory convertible and exchangeable debt. Roxane also regularly advises clients on significant strategic transactions and corporate governance matters.

Katie Sudol is a trusted advisor to U.S. and international corporate and private equity clients across a diverse range of industries in complex and high-profile public and private merger and acquisition transactions, including leveraged buyouts, minority and strategic investments, going private transactions and joint ventures. Katie led the Firm’s M&A Practice in Hong Kong from 2010-2018.

Eric Swedenburg represents leading companies, special committees and financial advisors in a wide range of highly complex, headline-grabbing U.S. and cross-border mergers and acquisitions, spin-offs, joint ventures and other significant corporate transactions across numerous industry verticals. He also regularly counsels clients in connection with high-stakes shareholder activism matters, corporate governance and other general corporate matters. Eric is a member of our Executive Committee.

Ken Wallach advises corporate, private equity and investment banking clients on the most complex corporate finance transactions, particularly in the areas of IPOs, high yield and investment grade debt and restructurings, as well as on corporate governance issues and other general corporate matters. He has also advised clients on mergers and acquisitions transactions and private investment in public entity (PIPE) deals.
