The Firm recently represented the underwriters in connection with the public offering by Amphenol Corporation (“Amphenol”) of $7.5 billion aggregate principal amount of Senior Notes, comprising $500 million of Floating Rate Senior Notes due 2027, $750 million of 3.800% Senior Notes due 2027, $750 million of 3.900% Senior Notes due 2028, $1 billion of 4.125% Senior Notes due 2030, $1.25 billion of 4.400% Senior Notes due 2033, $1.6 billion of 4.625% Senior Notes due 2036 and $1.65 billion of 5.300% Senior Notes due 2055. The offering closed November 10, 2025.
Amphenol intends to use the net proceeds from the offering, together with cash on hand and certain borrowings, to pay the cash consideration for the acquisition of CommScope Holding Company, Inc.’s Connectivity and Cable Solutions businesses, specifically the Data Center Connectivity Solutions business, the Broadband Communications business and the Building Connectivity Solutions business (the “CCS Acquisition”) and fees and expenses related to the CCS Acquisition.
