Simpson Thacher Secures Dismissal of Counterclaims Suit for DigitalBridge
The Firm secured dismissal of all counterclaims against DigitalBridge Group, Inc., a leading global asset manager dedicated to investing in digital infrastructure, and its CEO in the First Judicial District Court of Nevada in Storey County. The counterclaims—filed by Tract Capital Management, LP and related entities—alleged tortious interference, civil conspiracy and alter ego liability in connection with Switch, Ltd.'s (“Switch”) property dispute with Tract. An affiliate of an investment fund managed by DigitalBridge acquired Switch along with other investors in December 2022.
In dismissing the case in its entirety, District Judge Jason D. Woodbury agreed with the Simpson Thacher team's arguments that the Court had no general jurisdiction or specific jurisdiction in this matter over DigitalBridge—a Maryland corporation headquartered in Florida—or its CEO. The court also held that there was insufficient basis to impute jurisdiction to DigitalBridge or its CEO based on Switch’s own incorporation in Nevada. The court concluded that “Tract had the burden to provide evidence to support facts needed to make a prima facie showing of jurisdiction. It did not provide any evidence and, as such, failed to meet its burden with respect to any theory of personal jurisdiction.”
