Consortium Led by Permira and Warburg, with Francisco Partners and Temasek, to Buy Clearwater Analytics for $8.4 Billion

Simpson Thacher is representing Francisco Partners in connection with the acquisition of Clearwater Analytics by a Permira and Warburg Pincus-led investor group, with participation from Temasek and key support from Francisco Partners, in a transaction valued at approximately $8.4 billion. Under the terms of the definitive agreement, Clearwater Analytics’ stockholders will receive $24.55 per share in cash upon closing of the transaction. The transaction is expected to close in the first half of 2026, subject to customary closing conditions, including approval by Clearwater Analytics’ stockholders and receipt of required regulatory approvals.
