The Firm represented the initial purchasers, led by Wells Fargo Securities, LLC, in connection with the Rule 144A/Regulation S offering (the “Offering”) by R. R. Donnelley & Sons Company (“RRD”) of $900 million aggregate principal amount of 11.000% / 11.000% Senior PIK Notes due 2031. The size of the Offering was upsized from $750 million to $900 million.
