Litigation Partner Joe McLaughlin and Corporate Counsel Yafit Cohn published an article titled “Preclusion in Derivative Litigation: New Uncertainty” in the August 9, 2017 edition of the New York Law Journal. The article examines the potential ramifications of two recent Delaware Court of Chancery decisions that have introduced uncertainty into longstanding law that the dismissal of a stockholder derivative complaint for failure to make a pre-suit demand has preclusive effect against all subsequent actions making similar allegations.
