Jonathan Westreich

Jonathan Westreich is a Partner in the Firm’s Tax Practice. Based in Los Angeles, he represents companies, investment funds and other strategic clients in complex corporate transactions, including mergers, acquisitions, dispositions, tax-free reorganizations and restructurings with respect to domestic and cross-border tax issues. He also has significant experience with capital markets offerings, financings and joint ventures, including transactions involving real estate, and a particular focus on clients in the sports, media and entertainment industries.

Notable experience prior to joining Simpson Thacher includes advising:

• Clearlake Capital Group in a number of significant transactions, including its take-private acquisition of Dun & Bradstreet Holdings, strategic investment in Aptean, take-private acquisition of Alteryx, acquisition of Cornerstone OnDemand, acquisition of Quest Software, acquisition of Confluence Technologies, equity investment in RSA Security, acquisition of Precisely, and acquisition of Endurance International Group Holdings.
• Portfolio companies backed by Clearlake Capital Group in multiple acquisition and financing transactions.
• Siris Capital in its US$4.2 billion sale of Equiniti to Bullish.
• ZMC in various transactions, including the acquisition of wPromote and World Choice Investments and the sale of IT Renew.
• Roche in numerous public and private acquisitions, including Roche’s acquisition of 89bio, Carmot Therapeutics, Poseida Therapeutics, Ignyta, and GenMark Diagnostics.
• ServiceTitan in numerous acquisitions, including ServiceTitan’s acquisition of FieldRoutes, Conduit Tech, Convex, and Schedule Engine, among others.
• Palo Alto Networks, Inc. in connection with multiple transactions, including its acquisitions of security companies, Twistlock, Demisto and PureSec.
• The management team of Chess.com in connection with Chess.com’s investment from private equity firm CVC.

• Basketball Hall of Famer Tracy McGrady in connection with his acquisition of a controlling interest in the iconic ABCD Basketball Camp and relaunch of the Ones Basketball League (OBL).
• An investor in the consortium led by Alex Rodriguez and Marc Lore that acquired a controlling interest in the NBA’s Minnesota Timberwolves and WNBA’s Lynx.
• A minority investor in connection with an investment in the New England Patriots.
• The Denver Post in connection with the sale of its interests in the Colorado Rockies Baseball Club.
• Jeff Skoll in connection with his minority investment in Monumental Sports & Entertainment, which owns and operates the Washington Wizards, Washington Capitals and Washington Mystics
• Clara Vista Investment Partners in its acquisition of an 80% stake in Frosinone Calcio, an Italian Serie A football club, and its investment in UK-based Ipswich Town Football Club.
• 885 Capital on various investments, including its acquisition of Club Deportivo Leganés (“C.D. Leganés”), a professional football club in Spain.
• Clara Vista Partners and Portman Holdings in its majority investment in Ipswich Town Football Club.
• Ariel Investments, in connection with the launch and growth of Project Level, a women’s sports investment platform, as well as a number of Project Level’s investments.
• Owners of the Premier Hockey Federation, the top international women’s professional hockey league, in the launch of a new North American women’s professional hockey league.
• Monarch Collective, an investment fund focused exclusively on women’s professional sports, in various transactions.
