Based in the Firm’s London office, Sam Brooks is a member of our European Funds Practice. He advises on both closed-ended and open-ended products for a variety of investor types, with a particular emphasis on the structuring and raising of European private credit funds and evergreen credit fund structures.

Notable experience prior to joining Simpson Thacher includes advising:

  • Carlyle on its first institutional European lending product, structured as an innovative unitised evergreen fund, with rated note feeder
  • Muzinich & Co on its range of private credit funds, including its flagship Pan-European Private Debt range, several strategy-specific fund ranges and the launches of several innovative ELTIFs and its semi-liquid strategy
  • Alcentra on its range of direct lending and strategic credit funds, both closed-ended and evergreen, together with related products, including its managed account platform
  • Corinthia on managed accounts and its first European direct lending fund

As a member of the Firm’s European Funds Practice based in London, Sam Brooks represents sponsors of both closed-ended and open-ended alternative investment funds.

Focusing on the structuring, sponsoring and operation of private investment funds, Sam advises sponsor clients on a broad range of funds issues, including marketing regulations and documents, structuring and terms, investor negotiations and service agreements. His practice incorporates upper-tier mandates such as management entities and compensation arrangements.

Sam also has extensive experience advising on the retailization of private assets, including on the launch of several ELTIF products and Luxembourg UCI Part II semi-liquid funds, as well as country-specific products in multiple European jurisdictions.
