Simpson Thacher represents HarbourVest Private Investments Fund (the “Fund”), a continuously offered evergreen tender offer fund registered as a closed-end investment company under the 1940 Act, in connection with its formation, seeding structure and continuous public offering. The firm also advised HarbourVest Partners in the structuring and formation of HarbourVest Registered Advisers L.P., the Fund’s investment adviser.
The Fund is designed to provide a single point of entry to HarbourVest’s multi-manager, direct private equity platform. The Fund intends to gain access to private investments primarily through direct co-investments and continuation solutions, with a focus on the small to mid-market. Before commencing investment operations, the Fund was seeded with $550 million in capital (combination of assets and committed cash) with exposure to nearly 40 companies across 30 private equity managers.
