Simpson Thacher represented The Herb Chambers Companies (“HCC”), the fourteenth largest privately-owned automotive dealership group by revenue in the country, in connection with the sale of its auto dealer operations to Asbury Automotive Group, Inc., one of the largest automotive retail and service companies in the U.S. The sale of HCC is one of the most sizable in U.S. auto retail history, representing $3.2 billion in revenue in 2024, and included 33 dealerships, 52 franchises, and three collision centers. The aggregate net purchase price in the transaction was $1.45 billion.
