Simpson Thacher is advising Air Transport Services Group, Inc. (“ATSG”), a portfolio company of Stonepeak, in connection with its agreement to sell Omni Air International, LLC (“Omni”) to OAI Holdings, LLC. The transaction is expected to close in the fourth quarter of 2026 or early 2027, subject to customary closing conditions. Financial terms of the transaction were not disclosed.
Founded in 1993, Omni specializes in passenger air transportation, providing customized charter services for commercial and government customers worldwide. Omni also supplies aircraft and operating support to airlines through ACMI wet leasing and offers airline startup, route development and aircraft management systems. Upon closing, ATSG’s portfolio will be centered on air cargo transportation, aircraft leasing, and related maintenance and logistics services.
