Simpson Thacher represented the underwriters, led by J.P. Morgan Securities LLC, in connection with the sale by certain selling shareholders of 18,000,000 American Depositary Shares (“ADSs”) representing common shares of LATAM Airlines Group S.A. (“LATAM Airlines”). The secondary offering, which was effected pursuant to a block trade, raised gross sales proceeds to the selling shareholders of approximately $762 million. The transaction closed on August 18, 2025.
LATAM Airlines is the largest passenger airline group in South America and one of the largest airline groups in the world in terms of network connections. It is also the largest air cargo carrier in South America, as measured by cargo fleet. LATAM Airlines provides passenger transport services to 153 destinations in 27 countries and cargo services to 162 destinations in 32 countries, with an operating fleet of 360 aircraft.
