The Firm is representing Laborie Medical Technologies Corp., a portfolio company of Patricia Industries, in its agreement to acquire the JADA® System from Organon & Co. The transaction, valued at up to $465 million, is comprised of $440 million paid at closing and includes a milestone payment of up to $25 million subject to the achievement of certain 2026 revenue targets. The transaction is expected to close in the first quarter of 2026, subject to closing conditions and regulatory approvals.
The JADA® System is an innovative FDA-cleared device for the rapid control and treatment of abnormal postpartum uterine bleeding or hemorrhage. The JADA® System has launched in over 20 countries and is currently available in more than 2,000 hospitals across the United States.
