Mosaic Completes $2.0 Billion Senior Notes Offering and Concurrent Tender Offers

Simpson Thacher recently represented The Mosaic Company in connection with its registered public offering of $1.0 billion aggregate principal amount of 5.350% Senior Notes due 2031, $500 million aggregate principal amount of 5.650% Senior Notes due 2034 and $500 million aggregate principal amount of 5.900% Senior Notes due 2036 and in connection with its concurrent tender offers for up to an aggregate purchase price of $1.4 billion of its outstanding 4.050% Senior Notes due 2027, 7.30% Debentures due 2028, 5.375% Senior Notes due 2028 and 4.350% Senior Notes due 2029.

Mosaic used a portion of the proceeds from the notes offering to fund the purchase price for the tender offers and intends to use the remaining proceeds from the notes offering for general corporate purposes, which may include the repayment, repurchase or refinancing of outstanding indebtedness.

Mosaic is a leading producer and marketer of potash and phosphate fertilizer which are essential inputs for the world’s farmers.
