The Firm is acting as lead counsel to KKR in connection with its business combination with KKR Private Equity Investors, L.P. (KPE), KKR’s publicly traded affiliate listed on Euronext Amsterdam. In conjunction with the combination, which is expected to be consummated on October 1 of this year, KKR will acquire all of the assets and assume all of the liabilities of KPE and KPE unitholders will receive 30% of the equity of the combined business. KKR’s existing members will own the remaining 70% of the combined business. KPE would retain its listing on the Euronext Amsterdam, though following the completion of the transaction, each of KPE and KKR will have the ability to seek a listing of the combined business in the United States.
