Simpson Thacher advised Aethon Energy Management LLC (“Aethon Energy Management”) in connection with the sale to Mitsubishi Corporation (“Mitsubishi”) of its ownership interests in Aethon III LLC, Aethon United LP, and related entities and interests (collectively “Aethon”) and Aethon’s associated management business for a combined purchase price of approximately $5.2 billion plus the assumption of $2.33 billion of debt. Simpson Thacher further advised Aethon Energy Management in connection with the negotiation of an option in favor of Aethon Energy Management’s founder to repurchase up to 25% of Aethon’s upstream and midstream assets, as well as the establishment of a global strategic alliance with Mitsubishi.
