Jennifer Ho

Jennifer Ho is a Partner in the Firm’s National Security Regulatory Practice, based in Washington, D.C. Recognized by The Legal 500 as a “Rising Star” in International Trade, Jen advises multinational corporations, private equity sponsors, asset managers and other clients with complex investment structures on strategies to minimize national security risks and to secure regulatory approvals across key global markets.

Jen also advises clients on national security reviews before the Committee on Foreign Investment in the United States (CFIUS) and on a broad range of related regulatory issues, including mitigation of foreign ownership, control or influence (FOCI) under industrial security regulations and export control compliance matters. She has navigated matters involving sensitive technologies and critical sectors, including artificial intelligence; data security; cybersecurity; semiconductors; aerospace and defense; telecommunications; financial services and healthcare and life sciences.

Jen frequently publishes analyses on developments in CFIUS regulations and broader national security and investment policy trends in the United States and abroad.

Jen’s representative experience includes:

• Paramount Global in connection with its merger with Skydance Media;
• Sprint in navigating three significant regulatory reviews related to foreign ownership in one of the largest and most complex transactions in the wireless industry; the transaction was recognized as “Deal of the Year” at The Deal Awards 2021;
• Cypress Semiconductor in securing CFIUS approval of its merger with Infineon Technologies for $10.1 billion;
• Stonepeak in the establishment of its first pan-Asia infrastructure fund, Stonepeak Asia Infrastructure Fund LP;
• Board of Directors of Twitter, Inc. in its acquisition by an entity wholly owned by Elon Musk in a transaction valued at approximately $44 billion;
• Cohesity in its combination with Veritas’ data protection business in a cash-and-stock transaction that valued the combined company at $7 billion;
• El Puerto de Liverpool in its take private with members of the Nordstrom family of Nordstrom, Inc.;
• EdgeConneX, Inc., a leading global data center provider, in its sale to EQT Infrastructure IV; 
• Alight, Inc. in the sale of its Payroll and Professional Services business to an affiliate of H.I.G. Capital for up to $1.2 billion;
• NAVEX in connection with its sale of a majority stake in NAVEX to a consortium led by Goldman Sachs Alternatives;
• AutoScout24 in its announced acquisition of TRADER Corporation from Thoma Bravo;
• Oakley Capital in its acquisition of Construction Testing Solutions (CTS) from Palatine and certain minority shareholders;
• Clariant in its acquisition of Lucas Meyer Cosmetics from International Flavors & Fragrances, Inc.; and
• MediaRadar, a portfolio company of Thompson Street Capital Partners and Endicott Capital in the acquisition of Vivvix.

Jen received her J.D., cum laude, from Harvard Law School and her B.A., magna cum laude, from Georgetown University. Prior to law school, Jen was an Intelligence Analyst with the Federal Bureau of Investigation.
