Simpson Thacher Advises EQT on its Joint Venture with Americold

Simpson Thacher is advising EQT's Active Core Infrastructure fund on its joint venture with Americold Realty Trust, Inc., a global leader in temperature-controlled logistics. The transaction is expected to close in the third quarter of 2026, subject to customary closing conditions and regulatory approvals.

Under the terms of the agreement, Americold will contribute 12 cold storage facilities to the joint venture with an aggregate value in excess of $1.3 billion at inception. At closing, EQT will acquire a 70% interest in the joint venture, and Americold will retain a 30% equity interest and serve as day-to-day manager of the platform.

With more than 220 facilities across North America, Europe, Asia-Pacific and South America – totaling approximately 1.4 billion refrigerated cubic feet – Americold ensures the safe, efficient movement of refrigerated products worldwide.
