Simpson Thacher is representing DigitalBridge Group, Inc. ("DigitalBridge") in connection with its announced acquisition of ArcLight Capital Partners, LLC ("ArcLight") for a total transaction value of up to $1.05 billion. The consideration includes a base purchase price of $650 million, plus up to an additional $400 million of contingent consideration. The transaction is subject to customary closing conditions, including the completion of the previously announced acquisition of DigitalBridge by an affiliate of SoftBank Group Corp.
